Welcome to Hayati AI. These Terms and Conditions ("Terms") govern your access to and use of the Hayati AI platform, including our website, mobile applications, and any other associated services (collectively, the "Services"). The Services are operated by Hayati Labs Limited, a company registered in Hong Kong ("Hayati AI", "we", "our", or "us"). By registering for or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the services. Hayati AI offers AI-generated emotional companion services through text and image-based interactions. These Services are intended solely for personal entertainment, emotional comfort, and fictional engagement. Hayati AI is not a substitute for medical advice, psychological counseling, or real interpersonal relationships.

1. Eligibility and Account Registration

  • You must be at least 18 years old to use the services.
  • By creating an account, you represent and warrant that you meet this age requirement.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • You agree to provide accurate, complete, and current information and to update it as necessary.

2. Description of Services

  • Hayati AI provides AI-powered interactive companions in the form of text-based chats and AI-generated imagery simulating fictional romantic or emotional relationships.
  • Users may engage in one-on-one roleplay, storytelling, and character customization.
  • All AI-generated characters and conversations are entirely fictional and must not be interpreted as factual, representative of real individuals, or relied upon for decision-making.

3. Prohibited Uses and User Conduct

  • You agree not to:
  • - Use the Services for any unlawful purpose or in violation of applicable laws or regulations;
  • - Upload, generate, or engage in content that is:
  • - Defamatory, hateful, or discriminatory;
  • - Sexually exploitative of minors (including fictional content);
  • - Threatening or promoting self-harm, suicide, or violence;
  • - Harassment, stalking, or impersonation of real people;
  • - Intended to bypass moderation systems.
  • - Attempt to probe, scan, or test the vulnerability of our systems or networks;
  • - Use bots or automated systems to artificially engage with the Services;
  • - Sell, sublicense, or commercially exploit any content or features of the platform.

4. Disclaimer Regarding Psychological or Behavioral Outcomes

  • - Hayati AI operates solely as a provider of technology and content. We assume no legal or moral responsibility for actions, decisions, or consequences arising from the use of our services.
  • No Incitement or Encouragement
  • - All content generated, transmitted, or displayed through Hayati AI is produced automatically. It does not represent the views of Hayati AI and does not constitute advice, encouragement, or incitement.
  • User Responsibility
  • - Users must exercise their own judgment and bear full responsibility for all risks associated with using Hayati AI. This includes any direct, indirect, incidental, or consequential damages arising from reliance on AI-generated content.
  • Mental Health and Safety Notice
  • - Some content may be fictional, emotionally suggestive, or role-play in nature. It is intended for entertainment only. If you are in distress or experiencing harmful thoughts, please seek professional help or contact a local crisis hotline.

5. Content Ownership and Licensing

  • You retain ownership of any content (including prompts or preferences) you submit.
  • By using the Services, you grant Hayati AI a non-exclusive, worldwide, royalty-free, sublicensable, perpetual license to use, store, analyze, and modify such content for operating and improving the Services, including AI training.
  • Sensitive personal data (e.g., financial information, government IDs) will not be used for training.
  • Content you generate may be retained in anonymized form for research and model development.
  • AI-generated text and images are for personal, non-commercial use only. You may not resell, redistribute, or claim ownership without prior written permission.
  • If you choose to make your content public (e.g., sharing generated characters, prompts, or chats), you grant Hayati AI a worldwide, non-exclusive, royalty-free license to host, display, and distribute such content within the platform. You are solely responsible for any content you make public, and Hayati AI disclaims any liability for such disclosures.

6. Community and Safety Moderation

  • Hayati AI may monitor and moderate user interactions to enforce these Terms.
  • Content or accounts violating guidelines may be removed, suspended, or banned.
  • Users may report violations by email: info@hayati.ai.
  • Public content (e.g., "Public Characters") is viewable by others and no longer private.

7. Payment, Credits, Crypto Payment, and Subscription Services

  • Certain features require payment (e.g., premium characters, media responses, unlimited chats).
  • Crypto payments: All cryptocurrency transactions are final and irreversible once confirmed. No refunds or chargebacks are possible.
  • For fiat (credit card, etc.), refunds are provided only where required by law.
  • If you reside in the European Union or the United Kingdom, you may have a statutory right to withdraw from certain online purchases within 14 days ("cooling-off period"). By purchasing digital content or subscription services on Hayati AI, you acknowledge and expressly consent that access to such content begins immediately after purchase. Accordingly, your right to withdraw is waived once access has begun, unless otherwise required by applicable law.
  • If you reside outside the EU or UK, refunds and cancellations will be handled in accordance with the consumer protection laws applicable in your jurisdiction, where such laws provide additional mandatory rights.
  • Subscriptions auto-renew unless canceled before renewal. You may manage or cancel through account settings.
  • Refunds will not affect any mandatory statutory rights you may have under applicable consumer protection laws.

8. Limitation of Liability

  • To the maximum extent permitted by law, Hayati AI disclaims all warranties, express or implied.
  • We are not liable for indirect, incidental, or consequential damages, including emotional distress, data loss, or misuse of generated content.
  • Liability Cap: Total liability shall not exceed (i) the amount paid by you in the past 12 months, or (ii) USD 100 if no payments were made.
  • Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

9. Dispute Resolution and Governing Law

  • These terms are governed by the laws of the State of Delaware, United States.
  • Disputes shall be resolved by binding arbitration under AAA Rules, conducted in English, seated in Delaware, USA.
  • You waive the right to participate in class actions or representative lawsuits.
  • The arbitral award shall be final and binding on both parties.

10. Website Usage, Cookies, and Tracking

  • Hayati AI uses cookies and tracking technologies for functionality, personalization, and analytics.
  • By using the Services, you consent unless you disable cookies in the browser settings.
  • We honor applicable "Do Not Track" or similar opt-out preferences.
