Welcome to Hayati AI. These Terms and Conditions ("Terms") govern your access to and use of the Hayati AI platform, including our website, mobile applications, and any other associated services (collectively, the "Services"). The Services are operated by Hayati Labs Limited, a company registered in Hong Kong ("Hayati AI", "we", "our", or "us"). By registering for or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services. Hayati AI offers AI-generated companion services through text, image, voice, and video-based interactions. These Services are intended solely for personal entertainment, emotional engagement, and fictional roleplay for adults. Hayati AI is not a substitute for medical advice, psychological counseling, or real interpersonal relationships. The Services contain adult-oriented, sexually suggestive, and sexually explicit content intended only for users aged 18 or older.

Description of Services

  • Hayati AI provides AI-powered interactive companions in the form of text-based chats, AI-generated imagery, voice messages, and video content, simulating fictional romantic, emotional, or adult relationships.
  • Users may engage in one-on-one roleplay, storytelling, and character customization.
  • The Services may include adult-oriented and sexually explicit content. Such content is fictional, AI-generated, and intended for the private entertainment of consenting adults aged 18 or older.
  • All AI-generated characters and conversations are entirely fictional and must not be interpreted as factual, representative of real individuals, or relied upon for decision-making.

Prohibited Uses and User Conduct

  • You agree not to:
  • Use the Services for any unlawful purpose or in violation of applicable laws or regulations;
  • Upload, generate, or engage in content that is:
  • - Defamatory, hateful, or discriminatory;
  • - Sexually exploitative of minors, including any fictional, AI-generated, or stylized depiction of minors;
  • - Depicting non-consensual acts, sexual violence, bestiality, or incest;
  • - Threatening or promoting self-harm, suicide, or violence;
  • - Harassment, stalking, or impersonation of real people, including public figures;
  • - Intended to bypass moderation or safety systems;
  • Attempt to probe, scan, or test the vulnerability of our systems or networks;
  • Use bots or automated systems to artificially engage with the Services;
  • Sell, sublicense, or commercially exploit any content or features of the platform.

Disclaimer Regarding Psychological or Behavioral Outcomes

  • Liability Disclaimer. Hayati AI operates solely as a provider of technology and content. We assume no legal or moral responsibility for actions, decisions, or consequences arising from the use of our Services.
  • No Incitement or Encouragement. All content generated, transmitted, or displayed through Hayati AI is produced automatically. It does not represent the views of Hayati AI and does not constitute advice, encouragement, or incitement.
  • User Responsibility. Users must exercise their own judgment and bear full responsibility for all risks associated with using Hayati AI, including any direct, indirect, incidental, or consequential damages arising from reliance on AI-generated content.
  • Mental Health and Safety Notice. Some content is fictional, emotionally suggestive, or role-play in nature and is intended for entertainment only. If you are in distress or experiencing harmful thoughts, please seek professional help or contact a local crisis hotline.

Content Ownership and Licensing

  • You retain ownership of any content (including prompts or preferences) you submit.
  • By using the Services, you grant Hayati AI a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, and process such content solely for the purpose of operating, securing, and improving the Services.
  • We do not use the content of your private conversations to train AI models, except where such data has been fully anonymized and aggregated so that it cannot be linked back to you. You may opt out of such anonymized use at any time through your account settings or by contacting info@hayati.ai.
  • Sensitive personal data (e.g., financial information, government IDs) will never be used for training.
  • AI-generated text and images are for personal, non-commercial use only. You may not resell, redistribute, or claim ownership without prior written permission.
  • If you choose to make your content public (e.g., sharing generated characters), you grant Hayati AI a worldwide, non-exclusive, royalty-free license to host, display, and distribute such content within the platform. You are solely responsible for content you make public.

Community and Safety Moderation

  • Hayati AI may monitor and moderate user interactions to enforce these Terms.
  • Content or accounts violating these Terms may be removed, suspended, or banned.
  • Users may report violations by email: info@hayati.ai.

Payment, Credits, Crypto Payment, and Subscription Services

  • Certain features require payment (e.g., premium characters, media responses, unlimited chats), purchased using our virtual currency ("Lulu") or subscriptions.
  • Lulu credits that have been used or consumed on any service (including but not limited to messages, images, voice, video, gifts, or other features) are non-refundable.
  • Unused Lulu credits may be refunded at our discretion, subject to applicable law.
  • Crypto payments: All cryptocurrency transactions are final and irreversible once confirmed. No refunds or chargebacks are possible for crypto payments.
  • For card and other fiat payments, refunds are provided only where required by applicable law or expressly stated in this section.
  • If you reside in the European Union or the United Kingdom, you may have a statutory right to withdraw from certain online purchases within 14 days ("cooling-off period"). By purchasing digital content or subscription services on Hayati AI, you acknowledge and expressly consent that access to such content begins immediately after purchase, and you agree that your right of withdrawal is waived once access has begun, except where applicable law provides otherwise.
  • If you reside outside the EU or UK, refunds and cancellations are handled in accordance with the consumer protection laws applicable in your jurisdiction.
  • Subscriptions auto-renew unless cancelled before the renewal date. You may manage or cancel through your account settings.
  • Nothing in this section limits any mandatory statutory rights you may have under applicable consumer protection law.

Limitation of Liability

  • To the maximum extent permitted by law, Hayati AI disclaims all warranties, express or implied.
  • We are not liable for indirect, incidental, or consequential damages, including emotional distress, data loss, or misuse of generated content.
  • Liability Cap: Our total liability shall not exceed (i) the amount you paid in the past 12 months, or (ii) USD 100 if no payments were made.
  • Nothing in these Terms excludes or limits liability where such exclusion is prohibited by applicable law.

Dispute Resolution and Governing Law

  • These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
  • Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its administered arbitration rules in force at the time of the dispute. The seat of arbitration shall be Hong Kong, and the language shall be English.
  • You waive any right to participate in class actions or representative proceedings.
  • The arbitral award shall be final and binding on both parties.
