Welcome to Hayati AI ("Hayati," "Hayati AI," "we," "us," or "our"), an artificial intelligence companion platform operated by Hayati Labs Limited, a company registered in the United States.

These Terms and Conditions ("Terms") govern your access to and use of our website at https://hayati.ai, any associated applications, and all related products, features, content, and services (collectively, the "Services").

By accessing, registering for, purchasing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our applicable policies, including our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Services.

The Services are intended exclusively for adults aged 18 or older. They may contain sexually suggestive or sexually explicit AI-generated content.

3.1 Artificial Intelligence Disclosure

Hayati characters are artificial intelligence systems, not real human beings.

Characters, conversations, images, voices, videos, and other generated materials may be entirely or substantially synthetic.

Users must not interpret AI-generated expressions of affection, emotional attachment, or personal identity as evidence of genuine human consciousness, emotions, or relationships.

Hayati may display notices or labels identifying AI-generated content.

3.2 Fictional Entertainment

The Services are designed for entertainment, fictional roleplay, and simulated companionship.

Hayati does not guarantee that generated content will be accurate, reliable, appropriate, uninterrupted, or suitable for any particular purpose.

AI-generated outputs may be inaccurate, repetitive, unexpected, or inconsistent.

Users should exercise independent judgment when interacting with AI-generated content.

3.3 Service Availability

Hayati may modify, suspend, discontinue, or restrict features where reasonably necessary for maintenance, security, legal compliance, technical limitations, or business operations.

Any changes affecting paid entitlements will be handled in accordance with applicable law and our Refund and Return Policy.

Adult Content and Prohibited Uses

Hayati may provide adult-oriented fictional content for eligible users.

However, the availability of adult content does not permit unlawful, exploitative, or otherwise prohibited material.

4.1 Prohibited Sexual Content

2. Child sexual abuse material or sexual exploitation of children;

3. Non-consensual sexual activity, sexual assault, or coercion;

4. Sexual activity involving sleeping, unconscious, or incapacitated individuals;

5. Unauthorized sexual depictions or deepfakes of identifiable real persons;

6. Incest-related sexual scenarios;

7. Bestiality or animal sexual abuse;

8. Sexual violence, abduction, snuff, or fantasy snuff;

9. Sexual activity involving intoxication, drugs, or hypnosis where valid consent is absent or impaired;

10. Prohibited watersports-related sexual content;

11. Prostitution or escorting;

12. Polygamy-related sexual scenarios prohibited under applicable payment processor requirements;

13. Human trafficking or sexual exploitation;

14. Any other content prohibited by applicable law, payment network requirements, or Hayati's policies.

These restrictions apply to text, images, audio, video, roleplay, simulated scenarios, and other content formats.

4.2 Other Prohibited Conduct

Users must not:

• Promote or facilitate illegal activities;

• Generate actionable instructions for serious criminal wrongdoing;

• Engage in harassment, threats, stalking, or hate speech;

• Impersonate identifiable real individuals without authorization;

• Violate intellectual property or privacy rights;

• Attempt to bypass moderation systems;

• Exploit vulnerabilities or interfere with platform security;

• Use unauthorized bots, scraping tools, or automated access methods;

• Resell or commercially exploit the Services without authorization;

• Submit unlawful or unauthorized personal information;

• Use the Services to solicit or provide prohibited professional advice.

Hayati reserves the right to restrict or remove prohibited content and take appropriate enforcement action.

AI Companionship, Emotional Well-Being, and Professional Advice

Hayati provides fictional AI companionship and entertainment.

The Services are not intended to replace real-world relationships, professional mental health services, medical care, or emergency assistance.

AI-generated characters may simulate empathy, affection, concern, or emotional intimacy. Such interactions do not constitute a therapeutic relationship or professional counseling.

Hayati does not provide professional medical, psychological, legal, financial, or gambling advice.

Users should not rely on AI-generated content when making important decisions affecting health, safety, finances, or legal rights.

If you are experiencing an emergency or immediate risk of harm, contact local emergency services or an appropriate qualified professional.

Nothing in this section excludes or limits liability that cannot lawfully be excluded.

User Content and Intellectual Property

6.1 User-Submitted Content

You retain whatever ownership rights you lawfully hold in prompts, preferences, reference materials, and other content you submit to Hayati ("User Content").

You represent and warrant that you have the rights and permissions necessary to submit such content and authorize its processing in connection with the Services.

You must not submit material that infringes third-party rights or violates applicable law.

6.2 License to Operate the Services

By submitting User Content, you grant Hayati a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, transmit, and display such content solely as reasonably necessary to provide, maintain, secure, support, and improve the Services, subject to our Privacy Policy and applicable law.

This license does not transfer ownership of your User Content to Hayati.

6.3 AI-Generated Outputs

Subject to applicable law, third-party rights, and these Terms, Hayati grants you a limited, non-exclusive, non-transferable license to access and use AI-generated outputs made available to you through the Services for personal, non-commercial purposes.

You may not sell, sublicense, commercially distribute, or otherwise commercially exploit such outputs without Hayati's prior written authorization, except where applicable law provides otherwise.

AI-generated outputs may not qualify for copyright protection in all jurisdictions.

Hayati does not guarantee that generated outputs are unique, copyrightable, or free from similarities to content generated for other users.

6.4 Platform Intellectual Property

Hayati's trademarks, logos, software, interface designs, proprietary characters, branding, and other protected platform materials remain the property of Hayati or their respective rights holders.

Nothing in these Terms transfers ownership of Hayati's intellectual property to users.

6.5 Copyright Complaints

Hayati may remove allegedly infringing content and terminate repeat infringers in appropriate circumstances.

7.1 Private Conversations

Users should avoid submitting sensitive personal information unless necessary.

7.2 AI Model Training and Improvement

Hayati's use of conversation data for AI training, model improvement, analytics, or other secondary purposes is governed by its Privacy Policy and any applicable consent or preference controls.

Hayati will not represent that conversation data is fully anonymous, excluded from training, or subject to an opt-out mechanism unless those representations accurately reflect its technical and operational practices.

Payments, Lulu Credits, and Subscriptions

Certain Services require payment, including premium features, subscriptions, and virtual credits known as "Lulu".

All prices, billing intervals, applicable taxes, and material purchase conditions will be disclosed during the applicable checkout process.

8.1 Payment Methods

Hayati may accept supported payment cards, digital wallets, cryptocurrency, or other payment methods made available at checkout.

Available payment methods may vary by jurisdiction and payment processor.

By submitting payment information, you represent that you are authorized to use the selected payment method.

Payment transactions may be processed by independent third-party payment service providers.

8.2 Lulu Virtual Credits

Lulu credits are digital units used to access eligible features or content within Hayati.

Lulu credits:

• Have no cash value outside Hayati;

• Are not legal tender or cryptocurrency;

• Are not bank deposits or financial instruments;

• Cannot be redeemed for cash;

• Are non-transferable unless expressly permitted;

• May be used only for eligible Services.

The amount of Lulu required for a feature will be displayed or otherwise disclosed through the applicable interface.

8.3 Refunds for Lulu Credits

Lulu credits that have been used or consumed to obtain messages, images, audio, video, gifts, or other digital features are generally non-refundable, except where required by applicable law.

Refund eligibility for unused Lulu credits and other purchases is governed by our Refund and Return Policy.

8.4 Subscription Billing and Automatic Renewal

Certain Hayati subscriptions renew automatically.

Before purchase, the applicable checkout process will disclose the subscription price, billing frequency, automatic renewal terms, and material cancellation conditions.

By purchasing an automatically renewing subscription, you authorize Hayati and its payment service providers to charge the applicable recurring subscription fees to your selected payment method until the subscription is canceled.

Renewal charges may include applicable taxes and will be subject to any legally required advance notices or authorizations.

8.5 Subscription Cancellation

You may cancel an automatically renewing subscription through the cancellation method made available in your account or by contacting info@hayati.ai.

Cancellation stops future renewals once processed in accordance with the disclosed billing terms.

Unless otherwise required by applicable law or stated in the Refund and Return Policy, cancellation does not automatically entitle you to a refund for a billing period already paid.

Access to paid features may continue until the end of the applicable paid billing period, unless otherwise disclosed or required by law.

Hayati will provide cancellation mechanisms and notices as required by applicable consumer protection and automatic renewal laws.

8.6 Cryptocurrency Payments

Where cryptocurrency payments are offered, blockchain transactions may be technically irreversible once confirmed.

However, the technical irreversibility of a blockchain transfer does not eliminate any refund, cancellation, or consumer rights that cannot lawfully be waived.

Any eligible refund for a cryptocurrency purchase will be handled in accordance with the Refund and Return Policy and applicable law.

8.7 Statutory Consumer Rights

Users may have mandatory consumer protection rights under the laws applicable to their purchases.

For users in the European Union or United Kingdom, statutory withdrawal rights and exceptions for digital content or digital services apply only where their legal requirements are satisfied.

Purchasing digital content or beginning to use the Services does not, by itself, automatically waive every applicable statutory withdrawal right.

Where required, Hayati will obtain the necessary express consent and acknowledgment through the purchase process.

Nothing in these Terms limits mandatory consumer rights.

The availability and scope of moderation measures may vary by feature and technical capability.

Hayati may:

• Block prohibited prompts or outputs;

• Restrict or remove content;

• Investigate suspected violations;

• Issue warnings;

• Suspend or terminate accounts;

• Preserve relevant compliance records;

• Cooperate with competent authorities where required.

Formal complaints and content removal requests are governed by our Complaints, Content Removal & Appeals Policy.

Hayati aims to acknowledge reports within 24–48 hours and to resolve formal content complaints and removal requests within five business days, in accordance with the applicable policy.

Content requiring immediate removal under applicable law or payment network requirements will be addressed without waiting for the ordinary review period.

Real-Person Likeness, Consent, and Synthetic Media

Hayati's core characters are intended to be fictional and AI-generated.

Users must not use the Services to create, request, or distribute unauthorized depictions of identifiable real persons, including non-consensual sexual deepfakes.

Where real-person likenesses are permitted in a specific feature, all applicable identity, age-verification, consent, and recordkeeping requirements must be satisfied.

Hayati may remove or restrict content when valid authorization cannot be established.

Individuals who believe their image, likeness, identity, or voice has been used without authorization may submit a complaint to:

Such complaints are handled under our Content Monitoring & Prohibited Content Policy and Complaints, Content Removal & Appeals Policy.

Account Suspension and Termination

Hayati may suspend, restrict, or terminate accounts where reasonably necessary due to:

• Violations of these Terms or related policies;

• Suspected illegal activity;

• Repeated attempts to generate prohibited content;

• Fraud or payment abuse;

• Security threats;

• Applicable legal or regulatory requirements;

• Material misuse of the Services.

Where appropriate, Hayati may provide notice and an opportunity to appeal.

Users may request account closure by contacting info@hayati.ai or using available account-management features.

Account termination does not automatically cancel payment obligations already incurred or eliminate mandatory consumer rights.

Refunds, if any, are governed by applicable law and our Refund and Return Policy.

Disclaimers and Limitation of Liability

12.1 Service Disclaimer

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Hayati does not guarantee uninterrupted availability, error-free operation, or the accuracy or suitability of AI-generated content.

12.2 User Judgment

Users acknowledge that AI-generated content may be fictional, inaccurate, or emotionally suggestive.

Users are responsible for exercising reasonable judgment when using the Services.

12.3 Limitation of Liability

To the maximum extent permitted by applicable law, Hayati Labs Limited and its officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Services.

To the maximum extent permitted by applicable law, Hayati's aggregate liability arising from or relating to the Services will not exceed the greater of:

(a) the total amount paid by the user to Hayati during the twelve (12) months preceding the event giving rise to the claim; or

(b) USD 100.

12.4 Mandatory Legal Exceptions

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, personal injury, or other matters to the extent such exclusion or limitation is prohibited by applicable law.

Nothing in these Terms restricts mandatory consumer protection rights.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and, where applicable, the U.S. state in which Hayati Labs Limited is legally organized, without regard to conflict-of-law principles, except where mandatory consumer protection laws require otherwise.

Any dispute arising from or relating to these Terms will be resolved in a court of competent jurisdiction, subject to applicable jurisdictional rules and mandatory consumer protection laws.

Nothing in these Terms requires users to waive rights or remedies that cannot lawfully be waived.

These Terms do not impose mandatory arbitration or a class-action waiver.

Changes to the Services and Terms

Hayati may update these Terms to reflect changes in applicable law, payment network requirements, platform features, security practices, or business operations.

Where required by law, material changes will be communicated through email, an in-platform notice, or another appropriate method.

Updated Terms will become effective on the date specified in the revised version, subject to applicable law.
